End User License Agreement

Effective Date: March 7, 2023

This End User License Agreement (“Agreement”) is between IronVest, Inc. (a Delaware corporation, 228 Park Avenue South, Suite 97601, New York, NY 10003) and you, the end user.

Acceptance

By using the software, you accept these terms. If you do not accept them, do not use the software.

Installation rights

You may install one copy on your device. The software covers AccessGuard and InboxGuard products plus updates and support services.

Internet services

The software transmits device information to internet-based services. By using the software you consent to this transmission and agree to comply with applicable terms for any third-party services.

License scope

Non-exclusive, non-transferable license only. You may not reverse engineer, decompile, copy beyond specified limits, publish, rent, lease, lend, transfer, or use the software for commercial hosting or competitive development.

Feedback

IronVest may use any suggestions you provide without obligation to you, and you hereby irrevocably assign to IronVest all right, title, and interest in such suggestions.

Termination

IronVest may terminate this Agreement immediately for material breach. No refund will be provided.

Support

IronVest has no obligation to provide support, professional services, upgrades, or new releases.

Warranty disclaimer

The software is licensed “as-is.” You bear the risk of using it.

Limitation of damages

You can recover from IronVest and its suppliers only direct damages up to US$1.00.

Governing law

This Agreement is governed by the laws of the State of New York. Any dispute will be heard in the courts of the Southern District of New York. The right to a jury trial is waived.
